NxtGenAPIs provides technology and API-based services to Banks, Non-Banking Financial Companies (NBFCs), Microfinance Institutions (MFIs), and other regulated entities, including services related to eKYC, identity verification, compliance enablement, and data validation.
We act as a technology service provider and data processor. We do not provide financial, legal, or regulatory advice.
3. Eligibility and Authorized Use
The Services are intended only for organizations and authorized representatives of regulated financial institutions or entities approved by the Company.
You agree to:
Use the Services solely for lawful and authorized business purposes
Comply with all applicable laws, regulations, and RBI guidelines
Ensure that all end-user consents required by law are obtained before using the Services
4. Customer Responsibilities
Customers are responsible for:
Ensuring compliance with RBI Master Directions, KYC/AML regulations, and applicable laws
Obtaining valid and informed consent from end users
Maintaining confidentiality of API keys, credentials, and access tokens
Ensuring accuracy and legality of data submitted via the APIs
The Company shall not be responsible for misuse of the Services by the Customer or its users.
5. Data Protection and Privacy
All data processing is governed by our Privacy Policy, which forms an integral part of these Terms.
Customers acknowledge that:
The Company processes data strictly on Customer instructions
The Customer remains the data controller
The Company implements reasonable security practices as required by law
6. Security and Compliance
We implement appropriate technical and organizational measures to protect data and systems, in alignment with:
RBI cybersecurity and IT outsourcing guidelines
Industry security standards
However, no system can be guaranteed to be completely secure, and Customers acknowledge inherent risks in electronic data transmission.
7. Service Availability
We strive to provide reliable and continuous Services but do not guarantee uninterrupted availability. Services may be temporarily unavailable due to:
Scheduled maintenance
System upgrades
Force majeure events
Regulatory or security requirements
Service levels, if any, are governed by separate written agreements.
8. Intellectual Property
All intellectual property rights related to the Services, APIs, documentation, and website content are owned by or licensed to the Company.
Customers are granted a limited, non-exclusive, non-transferable license to use the Services for their internal business purposes, subject to these Terms.
9. Prohibited Activities
You agree not to:
Use the Services for unlawful or unauthorized purposes
Reverse engineer, modify, or attempt to extract source code
Interfere with system integrity or security
Use the Services in a manner that violates RBI regulations or applicable laws
10. Suspension and Termination
We reserve the right to suspend or terminate access to the Services:
For violation of these Terms
To comply with legal or regulatory requirements
To protect system security or integrity
Termination does not relieve Customers of obligations accrued prior to termination.
11. Limitation of Liability
To the maximum extent permitted by law:
The Company shall not be liable for indirect, incidental, or consequential damages
Liability, if any, shall be limited as specified in applicable contractual agreements
Nothing in these Terms limits liability where prohibited by law.
12. Indemnification
Customers agree to indemnify and hold harmless the Company from any claims, losses, or liabilities arising from:
Customer's misuse of the Services
Violation of laws or regulations
Failure to obtain required end-user consents
13. Governing Law and Jurisdiction
These Terms shall be governed by the laws of India.
Courts located in [New Delhi, Delhi] shall have exclusive jurisdiction.
14. Changes to Terms
We may update these Terms from time to time. Updated Terms will be posted on our website with a revised effective date. Continued use of the Services constitutes acceptance of the updated Terms.
